Taiho Pharmaceutical Co., Ltd. (hereafter referred to as "Taiho," "we," "us," "our," or "ours") recognises that the protection of everyone's privacy is an important responsibility of the company as a business that guarantees the protection of personal information, and it is fully committed to such protection.

For the purposes of this Privacy Statement, “Personal Information” means information relating to an identified or identifiable individual and includes “personal data” under the EU General Data Protection Regulation (“GDPR”) and the UK GDPR, “personal information” and “retained personal data” under Japan’s Act on the Protection of Personal Information (“APPI”) and any other similar terms under other applicable data protection laws.

Taiho is the data controller, or the equivalent under applicable law including a "personal information handling business operator" under the APPI, responsible for the Personal Information described in this Privacy Statement.

This statement applies to Personal Information that we collect through or in connection with all websites under the domain name of taiho.co.jp (including subdomains) that are operated and managed by Taiho. This includes Personal Information you provide to us directly and Personal Information collected automatically through cookies and similar technologies. It applies to visitors to our website wherever they are located and is intended to satisfy the transparency requirements of the data protection laws applicable to us, including the APPI, the GDPR, the UK GDPR, the Data Protection Act 2018, and any other relevant data protection laws. Where local law grants you additional rights or protections, nothing in this statement limits them.

This website has been established by Taiho and is operated and managed to provide information about Taiho, its products and other matters. Normally, when visiting our website, you do not need to reveal your identity or disclose Personal Information such as your name, postal address, telephone number, date of birth, e-mail address, etc. However, if you want to use certain website functions, you may be asked to provide Personal Information. In such case, you will be notified immediately before the collection of Personal Information about the purpose and the information to be collected. We will only collect and process Personal Information where we have a lawful basis to do so. Where consent is the applicable lawful basis, we will collect and process your Personal Information only with your consent, and you may withdraw that consent at any time. If we wish to use your Personal Information for a purpose that is not compatible with the purposes described in this statement, we will notify you and, where required by applicable law, obtain your prior consent. Under all circumstances, the provision of Personal Information is voluntary, although some website functions may not be available if you choose not to provide it.

Depending on how you interact with our website, we may collect the following categories of Personal Information:

  • The content of your enquiries and our correspondence with you, including, where you choose to provide it, information relating to our products (for example, medical information enquiries or reports of suspected adverse events, which may include health information);
  • Technical and usage information collected automatically through cookies and similar technologies, such as your IP address, browser type, device identifiers and the pages you visit (see our Cookie Policy).
  • Where relevant, information relating to your privacy choices and requests, such as records of consent, cookie preferences, data subject requests and our responses.Health information and other sensitive or "special category" data will be collected and used only where permitted by applicable law, for example with your consent or where necessary to comply with our pharmacovigilance and other legal obligations.

Sources of Personal Information

We collect Personal Information directly from you when you provide it to us, automatically from your device and browser when you use our website, and, where relevant, from service providers, recruitment platforms, healthcare professionals, regulators, authorised representatives or other third parties involved in your enquiry, application, request or safety report.

Purposes of processing and lawful bases

We process Personal Information for the following purposes:

  • to respond to your enquiries and requests and to communicate with you;
  • to provide information about Taiho, its products and services;
  • to record, assess and report suspected adverse events and product quality complaints and otherwise to comply with our pharmacovigilance, safety and other legal and regulatory obligations;
  • to operate, secure, analyse and improve our website;
  • to manage your cookie choices and privacy preferences;
  • to prevent, detect and investigate security incidents, fraud, unlawful activity or misuse of our website;
  • to respond to privacy rights requests and maintain records of our compliance and
  • to establish, exercise or defend legal claims.

Where the GDPR or UK GDPR applies, our legal bases for these purposes are:

  • your consent, for example where you choose to provide optional information, subscribe to communications or consent to non-essential cookies, where consent is required;
  • our legitimate interests in operating our business and website, responding to enquiries, communicating with those who contact us, improving and securing our website and maintaining appropriate business records, provided that these interests are not overridden by your rights and freedoms;
  • compliance with our legal obligations, including drug-safety, pharmacovigilance, regulatory and data protection obligations;
  • where relevant, taking steps prior to entering into a contract with you; and
  • the establishment, exercise or defence of legal claims.

Where we process health information or other special category data under the GDPR or UK GDPR, we also rely on an applicable Article 9 condition, such as your explicit consent, reasons of public interest in the area of public health, compliance with medicinal product safety obligations, or the establishment, exercise or defence of legal claims, as applicable.

Disclosure and sharing of Personal Information

Taiho does not otherwise provide or disclose Personal Information collected from you to third parties except in the following cases:

  • When your consent has been obtained;
  • When disclosure to third parties is permitted or required by relevant laws and regulations;
  • When ordered by a court of law or when ordered to disclose or submit Personal Information based on an edict from a government agency;
  • When disclosure is within the scope required to carry out business with subcontractors or service providers under appropriate confidentiality and data protection arrangements with Taiho, such as IT hosting, website analytics, cookie management, recruitment support and other service providers acting on our instructions and under contracts that protect your Personal Information;
  • When shared with Taiho group companies for the purposes described in this statement;
  • When disclosure is necessary in connection with a merger, acquisition, reorganisation or sale of assets, subject to appropriate safeguards;
  • When disclosure is necessary to health authorities, regulators or other relevant parties for example in connection with drug-safety reporting, medical information enquiries or other legal and regulatory obligations; or
  • When disclosure is necessary to professional advisers, insurers, auditors, law enforcement bodies or other third parties where necessary to protect our rights, comply with applicable law or establish, exercise or defend legal claims.

In addition, when the use of Personal Information is outside the scope of the purpose of use described in this Privacy Statement, we shall obtain your consent for such use where required by applicable law.

International transfers of Personal Information

Taiho is headquartered in Japan and the Personal Information you provide through this website may be transferred to, and processed in, Japan and other countries where we, our group companies or our service providers operate, which may have data protection laws different from those of your country. Transfers from the EEA and the UK to Japan may be made on the basis of the European Commission's and the UK's adequacy decisions in respect of Japan. Where we transfer Personal Information to countries that are not recognised as providing an adequate level of protection, we implement appropriate safeguards, such as the European Commission's Standard Contractual Clauses, the UK International Data Transfer Agreement or Addendum or other measures permitted by applicable law.

Children’s Personal Information

Our website is not directed to children. We do not knowingly collect Personal Information from children through the website, except where such information is provided by a parent, guardian, healthcare professional or other authorised person in connection with a medical enquiry, product quality complaint, adverse event report or other permitted purpose.

Your rights regarding your Personal Information

Where the GDPR or UK GDPR applies, you have the following rights, subject to the relevant conditions and exceptions:

  • the right to access your Personal Information and related information;
  • the right to have inaccurate Personal Information corrected and incomplete Personal Information completed;
  • the right to have your Personal Information erased in certain circumstances;
  • the right to restrict the processing of your Personal Information in certain circumstances;
  • the right to receive your Personal Information in a commonly used, machine-readable format and, where applicable, to have it transmitted to another organisation;
  • the right to object to the processing of your Personal Information, including processing for direct marketing; and
  • the right not to be subject to decisions based solely on automated processing, including profiling, which produce legal effects concerning you or similarly significantly affect you.

Where our processing of your Personal Information is based on your consent, you may withdraw that consent at any time. Withdrawal does not affect the lawfulness of processing carried out before withdrawal.

How to exercise your rights

To exercise any of these rights, or if you have any questions about how we handle your Personal Information, please contact our DPO, HewardMills, at taiho@hewardmills.com. We may ask you to provide information verifying your identity where we have reasonable doubts about it. If you make a request through a representative or authorised agent, we may ask for evidence of their authority to act on your behalf, such as a power of attorney.

We will respond to your request within the period required by applicable law, generally within one month of receipt where the GDPR or UK GDPR applies (extendable by up to two further months for complex or numerous requests). If we extend the period, we will inform you of the extension and the reasons for it within the initial period. If we are unable to act on your request, we will inform you of the reasons why and of your right to complain to a supervisory authority and, where applicable, to appeal our decision. Exercising your rights is free of charge, except where applicable law permits us to charge a reasonable fee, for example for manifestly unfounded or excessive requests.

These rights are not absolute and may be limited where permitted by applicable law, for example where we are required to retain Personal Information to comply with a legal obligation (such as pharmacovigilance reporting) or to establish, exercise or defend legal claims. We keep records of the requests we receive to demonstrate our compliance with applicable law.

You also have the right to lodge a complaint at any time with a data protection supervisory authority: in the EEA, the supervisory authority of your habitual residence, place of work or of the alleged infringement and in the UK, the Information Commissioner's Office (ico.org.uk).

Retention of Personal Information

We retain Personal Information only for as long as necessary to fulfil the purposes for which it was collected. To determine the appropriate retention period, we consider the amount, nature and sensitivity of the information, the potential risk of harm from unauthorised use or disclosure, the purposes for which we process it and whether we can achieve those purposes through other means, and applicable legal, regulatory, tax, accounting and pharmacovigilance retention requirements (for example, safety reports must be retained for the periods required by pharmaceutical regulation) as well as applicable limitation periods for legal claims. When Personal Information is no longer required, we delete it or irreversibly anonymise it.

Security of Personal Information

We implement organisational, personnel, physical and technical security measures designed to protect Personal Information against loss, destruction, alteration, unauthorised access and disclosure, including access controls, employee training and supervision of service providers. We review these measures periodically and update them where appropriate. Further information about our security measures is available from our DPO on request, except where disclosure of the information could compromise the security of our systems or Personal Information.
